1. Interpretation
For the purposes of these Terms and Conditions:
“Seller” refers to Technolondon Ltd, a company registered in England and Wales under Company Number 16392882, with its registered office located at 57 Shot Tower Close, Chester, CH1 3BT, United Kingdom.
Throughout this document, Technolondon Ltd will be referred to as “Technolondon”. “Buyer” means any individual, business, or organisation that places an order with Technolondon or receives a quotation and subsequently agrees to purchase Goods from Technolondon.
“Consumer” denotes a natural person who purchases Goods for purposes unrelated to their trade, business, or professional activities.
“Contract” refers to the binding agreement formed between Technolondon and the Buyer concerning the supply and purchase of Goods, whether confirmed through an official quotation, purchase order, or written acceptance.
“Goods” means all products, equipment, components, or items that Technolondon agrees to supply to the Buyer, including any separate parts or multiple deliveries forming part of a single order.
“Terms” refers to these Terms and Conditions of Sale, together with any additional written terms expressly agreed between Technolondon and the Buyer.
“Working Day” signifies any day of the week from Monday to Friday, excluding UK Public Holidays, Bank Holidays, and the holiday period spanning from Christmas Day to New Year’s Day.

2. Basis of the Sale
Technolondon Ltd agrees to supply, and the Buyer agrees to purchase, the Goods strictly in accordance with these Terms and Conditions. These Terms form the exclusive basis of the Contract and override any alternative terms proposed by the Buyer unless both parties expressly agree otherwise in writing by Technolondon. Any amendment, alteration, or additional condition—whether stated verbally or recorded on a purchase order—shall only be valid if formally accepted in writing by Technolondon. Technolondon makes no binding representation regarding the Goods unless such statements are expressly confirmed in writing by Technolondon. Nothing within these Terms limits either party’s liability for fraudulent misrepresentation. Any advice, guidance, or recommendations provided by Technolondon concerning the handling, installation, storage, or use of the Goods—unless expressly confirmed in writing by Technolondon—is followed entirely at the Buyer’s own risk. Technolondon shall not be held liable for any reliance placed on unconfirmed advice. Technolondon reserves the right to correct, without liability, any typographical, administrative, or clerical error found in website content, sales literature, quotations, invoices, or any other documentation issued by the company. References to third-party brands or manufacturers in connection with replacement components do not imply any association, endorsement, or affiliation between Technolondon and the original manufacturer. No document, publication, image, or material produced by Technolondon may be reproduced, copied, stored, or transmitted in any form without prior approval in writing by Technolondon. All trademarks and trade names referenced in Technolondon’s materials that are not owned by Technolondon remain the property of their respective owners.
The Buyer is solely responsible for any customs duties, import charges, and taxes arising from the export or import of the Goods.
3. Orders
When you place an order with Technolondon, you will receive an email acknowledging that your order has been received. This acknowledgement will include the applicable Terms and Conditions of Sale. A binding contract between you and Technolondon will only be established once (a) your order has been formally accepted in writing by Technolondon, and (b) payment has been successfully processed by credit/debit card or an official purchase order has been reviewed and approved by Technolondon, and (c) any required customs or export-related documentation has been completed where applicable. Only at this stage will your order be considered accepted and the Contract deemed to be in force.
No order submitted by the Buyer shall be regarded as accepted unless and until it has been explicitly confirmed in writing by Technolondon. The order confirmation will specify the quantity, description, specifications, and any applicable special terms relating to the Goods. The Buyer is solely responsible for ensuring that all information provided within the order—such as product details, quantities, delivery information and billing details—is complete and accurate.
Orders accepted by Technolondon before 3:30pm (UK time) on a Working Day will normally be dispatched on the same Working Day, subject to stock availability. Orders received after 3:30pm will be processed and dispatched on the next Working Day, again subject to stock availability.
For quality assurance and training purposes, telephone calls with Technolondon may be monitored or recorded. Technolondon reserves the right, at its sole discretion, to decline or refuse any order or to cease trading with any Buyer without the need to provide a reason.
4. Returns Policy – Technolondon Ltd
A. For Consumers (Personal, Non-Business Purchases)
If you are a consumer purchasing Goods online or over the telephone for your own private use, you are entitled, under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, to return the Goods to Technolondon Ltd within 14 days from the date of delivery for any reason. Goods must be returned at your own cost, and Technolondon will provide a full refund once the returned items have been received and inspected.
B. For Business Customers (B2B or Goods Used for Business Purposes)
Where the Buyer is:
- acting on behalf of a business, or
- purchasing Goods for use in connection with a business, or
- collecting Goods in person from Technolondon’s premises, or
- receiving delivery directly from a Technolondon employee,
returns may only be accepted with Technolondon Ltd’s prior written consent. Such consent is granted entirely at Technolondon’s discretion.
C. Conditions That Apply to All Returns
The following conditions must be met for any return request:
(a) The Buyer must contact Technolondon in writing within 14 days of delivery to request an RMA (Return Merchandise Authorisation) number.
(b) All returned Goods must be clearly labelled with the RMA number provided by Technolondon.
(c) Goods must be returned via a postal/carrier service at the Buyer’s cost, requiring a signature upon delivery.
The package must be signed for by an authorised Technolondon representative, and the RMA number must be clearly visible on the outside of the parcel.
(d) Goods must be in a resaleable condition, complete with:
- all accessories
- all manuals
- all components
- original, undamaged packaging
(e) The following items cannot be returned under any circumstances:
- opened or activated software, licences, CD/DVD media
- special-order or custom-configured products
- items containing time-sensitive sensors (e.g., gas detection cells)
- non-catalogue items or custom-manufactured equipment
- ESD-sensitive devices where protective packaging has been opened
- non-returnable service items such as calibration
- consumables such as opened test leads, probes, and batteries
D. Returns After 14 Days or Business Returns
If Technolondon agrees to accept a return under these circumstances, the Buyer will be subject to a handling and restocking fee of £10.00 or 20% of the invoice value, whichever is higher, which will be deducted from any refund issued to the Buyer. This fee applies in the following situations:
(a) Goods returned as “faulty” but subsequently inspected and found to have no fault by Technolondon or the manufacturer. In such cases, all inspection, testing and any associated shipping costs will also be charged to the Buyer.
(b) Goods returned due to an ordering error made by the Buyer, including but not limited to incorrect product selection, incorrect quantities ordered, or misinterpretation of product specifications.
5. Faulty Goods – Technolondon Ltd
Technolondon will accept returns of faulty Goods from Consumers, provided that the fault is reported to us in writing within 14 days of delivery, and subject to the conditions outlined in our Returns Policy. After this 14-day period has passed, Technolondon will provide a prompt repair or replacement service, depending on the nature of the fault and the manufacturer’s warranty terms.
6. Return of Kits, Bundles, Free Items and Special Packages
Where the Buyer has purchased a kit, bundle, promotional package, or multi-item offer, Technolondon will not accept the return of individual components from within that package. The entire kit or bundle must be returned in complete, undamaged and immediately resaleable condition, in accordance with our Returns Policy.
Any product or service within the kit or bundle that is non-returnable (as specified in our Returns Policy) will be treated in accordance with those rules.
All free items supplied as part of a promotion, bundle or special offer must be returned together with the Goods. If free items are not returned, the Buyer will be charged the full retail price of those items.
7. Goods Sent to Technolondon Ltd by the Buyer
Technolondon Ltd accepts no responsibility for any loss or damage to Goods while they are in transit from the Buyer to Technolondon, nor for any items received by Technolondon that arrive damaged, incomplete, or without appropriate documentation. The Buyer is solely responsible for ensuring that returned or supplied items are securely packaged and adequately insured during transit.
8. Refunds
Refunds will only be issued using the same payment method that was used for the original transaction. Technolondon is unable to process refunds to alternative payment methods under any circumstances.
9. Price of the Goods
The price of the Goods shall be the price quoted by Technolondon Ltd. Where no formal quotation has been issued, the applicable price shall be the price displayed on the Technolondon website at the time the order is accepted. Technolondon Ltd reserves the right to amend or update advertised prices at any time without prior notice.
10. Payment
For orders placed using a credit or debit card, payment will be charged to the Buyer’s card at the time the order is submitted and accepted by Technolondon Ltd. For orders placed via PayPal, payment will be taken from the Buyer’s PayPal account at the point the order is confirmed.
For orders placed through official Purchase Orders (POs), payment terms will follow the conditions expressly agreed in writing by Technolondon Ltd. Unless otherwise specified, invoices issued under a Purchase Order must be paid in full by the Buyer within the agreed payment period.
Technolondon reserves the right to decline orders or withhold shipment where payment has not been received in accordance with the agreed terms.
11. Delivery
Unless otherwise agreed in writing, delivery of the Goods will be made by Technolondon Ltd to the delivery address provided by the Buyer at the time of order. Technolondon will use reasonable commercial efforts to ensure that all orders received and accepted before 5:00 PM (UK time) are dispatched on the next Working Day, subject to stock availability. Technolondon shall not be held liable for any delay in delivery, regardless of the cause. Time of delivery shall not be considered “of the essence” unless expressly agreed in writing by Technolondon.
If an item is temporarily out of stock at the time the order is accepted, the Goods will be dispatched as soon as stock becomes available, with no additional shipping charges.
Where Goods are delivered in instalments, each instalment shall be treated as a separate contract. Failure by Technolondon to deliver any instalment, or any claim by the Buyer relating to an instalment, shall not entitle the Buyer to treat the Contract as repudiated as a whole.
If Technolondon fails to deliver the Goods (or any instalment) for reasons other than causes outside Technolondon’s reasonable control or the Buyer’s fault, Technolondon’s liability shall be limited solely to the lower of:
- The cost to the Buyer of obtaining replacement goods from the cheapest available source, and
- The Contract price of the Goods.
12. Risk and Property – Technolondon Ltd
Risk of loss or damage to the Goods shall pass to the Buyer at the moment the Goods are delivered to the Buyer, or—if the Buyer wrongfully refuses or fails to accept delivery—at the time Technolondon Ltd attempts to deliver the Goods.
Notwithstanding delivery and the passing of risk, ownership (title) of the Goods shall not pass to the Buyer until Technolondon Ltd has received full and cleared payment for the Goods, as well as payment for any other outstanding invoices owed by the Buyer.
Until full payment has been received:
(a) The Buyer shall hold the Goods as Technolondon’s fiduciary agent and bailee.
The Buyer must:
- keep the Goods separate from all other items,
- store them safely and appropriately,
- insure them adequately, and
- clearly mark or identify them as the property of Technolondon Ltd.
The Buyer may, however, resell or use the Goods in the ordinary course of its business.
(b) Provided the Goods remain in existence and have not been resold, Technolondon Ltd may at any time require the Buyer to return the Goods.
If the Buyer fails to do so immediately, Technolondon may enter the Buyer’s premises or any third-party location where the Goods are stored and repossess the Goods without prior notice.
If risk and title have already passed to the Buyer, and the Goods are later returned to Technolondon for any reason, risk does not transfer back to Technolondon until the Goods have been formally received and signed for by an authorised Technolondon representative.
The Buyer has a statutory duty of care to ensure that the Goods remain undamaged while in their possession or control. If Goods are returned to Technolondon in a damaged condition, the Buyer will be held liable for all associated repair or replacement costs, including any consequential losses incurred by Technolondon.
13. Warranties and Liability
All Goods supplied by Technolondon Ltd are covered by the manufacturer’s warranty, where applicable. Unless an extended warranty has been separately purchased from Technolondon or a specific service warranty is provided, Technolondon Ltd does not offer any additional warranties of its own. To the fullest extent permitted by law, all other warranties, conditions or representations — whether express or implied by statute, common law or otherwise — are expressly excluded.
Technolondon may, upon request, offer an optional extended warranty to supplement the manufacturer’s warranty; such warranties are subject to separate terms and conditions. Except in cases of death or personal injury resulting from Technolondon’s negligence, or where liability cannot be excluded under the Consumer Protection Act 1987 in respect of defective products, Technolondon Ltd shall have no liability to the Buyer for:
- any misrepresentation, unless made fraudulently;
- any implied warranties, conditions or obligations;
- any duties arising under common law;
- any loss of profit, revenue or business;
- or any indirect, incidental, special or consequential loss, damage, costs or expenses of any kind.
This includes, without limitation, loss or damage arising from or connected with:
- the performance or non-performance of the Contract,
- any delay or failure to deliver the Goods,
- the Buyer’s use, misuse, or resale of the Goods,
- or any other matter relating to the Goods.
Technolondon’s total liability under these Terms — unless expressly stated otherwise — shall be strictly limited to the price paid by the Buyer for the Goods or £5,000, whichever amount is lower.
Where the Buyer is a consumer purchasing Goods for personal, non-business use, nothing in these Terms shall affect the Buyer’s statutory consumer rights.
Technolondon Ltd shall not be considered in breach of the Contract, nor liable for any failure or delay in performing its obligations, where such delay or failure is due to circumstances beyond Technolondon’s reasonable control, including but not limited to:
- natural disasters (“acts of God”),
- explosions, floods, storms, fires, or accidents,
- war, threat of war, terrorism, sabotage, insurrection, or civil unrest.
14. Intellectual Property
If any claim is made against the Buyer alleging that the Goods supplied by Technolondon Ltd infringe the intellectual property rights of a third party, Technolondon shall indemnify the Buyer against all losses, damages, costs and expenses reasonably incurred in connection with the claim, provided that the Buyer:
(a) grants Technolondon full and exclusive control over all proceedings, negotiations, and legal actions relating to the claim;
(b) provides Technolondon with all reasonable assistance requested for the purpose of defending or resolving the claim;
(c) does not admit liability, make any payment, or enter into any settlement or compromise without Technolondon’s prior written consent (except where required by a final court judgment);
(d) does nothing to invalidate, limit, or prejudice any insurance policy that may provide cover for such claims, and any amounts recoverable under such insurance shall reduce Technolondon’s indemnity obligations accordingly;
(e) accounts to Technolondon for all damages, settlement payments, or legal costs awarded in favour of the Buyer and payable by any third party in connection with the claim (such consent by the Buyer not being unreasonably withheld); and
(f) takes all steps reasonably required by Technolondon to mitigate or reduce any liability, loss, damage, or expense arising from such claim.
This indemnity shall not apply where the alleged infringement results from:
- any modification made by the Buyer,
- use of the Goods in a manner not authorised by Technolondon or the manufacturer,
- or any combination or use of the Goods with products not supplied by Technolondon.
15. Insolvency of Buyer – Technolondon Ltd
If the Buyer becomes insolvent, bankrupt, enters into liquidation, administration, or any form of financial distress, Technolondon Ltd may, without prejudice to any other rights or remedies available:
- cancel the Contract, or
- suspend all further deliveries of Goods under the Contract
without incurring any liability to the Buyer.
If the Goods have been delivered but not paid for in full, all outstanding sums owed to Technolondon Ltd shall become immediately due and payable, regardless of any previously agreed payment terms or arrangements.
Technolondon further reserves the right to:
- reclaim any Goods for which payment has not been received in full,
- enter the Buyer’s premises or any relevant third-party premises to recover such Goods, and
- offset any losses, costs or expenses incurred as a result of the Buyer’s insolvency against sums already paid by the Buyer.
16. General – Technolondon Ltd
Any notice required or permitted to be given by either party under these Terms must be provided in writing and addressed to the other party at its registered office, principal place of business, or any other address that has been formally notified in writing for the purposes of receiving such notices. No waiver by Technolondon Ltd of any breach of the Contract by the Buyer shall be deemed a waiver of any subsequent breach of the same provision, nor shall it constitute a waiver of any other provision of the Contract. Any waiver must be expressly granted in writing by Technolondon to be effective. If any provision of the Contract is held by a court or competent authority to be invalid, unlawful or unenforceable in whole or in part, the validity and enforceability of the remaining provisions of the Contract shall not be affected. The Contract shall be governed by and interpreted in accordance with the laws of England and Wales. The Buyer agrees to submit to the exclusive jurisdiction of the courts of England and Wales in relation to any dispute arising out of or in connection with the Contract. For the avoidance of doubt, the United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply to this Contract.
